Emerging Market Legal, Regulatory & Tax Framework

Grameen Foundation is launching an investment fund which which will provide direct loans to microfinance institutions throughout Latin American, the Carribean, Asia, the Middle East, and Africa. As such Grameen Foundation needs to understand the legal and regulatory framework of the targeted coutries within these regions, including relevant taxes, capital controls, restrictions on foreign exchange, and other restrictions relative to making loans generally, particularly as a foreign lender.
GF is seeking answers to the following questions with respect to the legal, regulatory & tax framework of emerging market countries targeted for investment:
1. Any restrictions on foreign loans related to currency, tenor limitations, interest rates caps, and taxes (WHT),
2. If no restrictions, then are there registrations/regulations/approvals for foreign loans and guarantees,
3. Any restrictions on currency conversion from from and to the U.S. Dollar,
4. If so, do the same restrictions apply to other hard currencies,
5. Are there any restrictions on the transfer/repatriation of funds to the United States for loan interest, fees, or principal repayments.
Initially, we are targeting 22 countries segmented regionally as follows (Asia: 5, Sub-Saharan Africa: 7, Latin America: 5, Middle East & North Africa: 5). Countries include: Phillippines, Indonesia, Vietnam, Pakistan, India, Ghana, Kenya, Tanzania, Uganda, Ethiopia, Nigeria, Cameroon, Peru, Bolivia, Brazil, Columbia, Mexico, Morrocco, Egypt, Yemen, Lebanon, and Syria. The deliverable will be a summarized report on each country, with supporting documentation for more detailed analysis / future reference.
This project will enable Grameen Foundation to acertain the feasibility of investment in microfinance institutions in emerging market countries and provide a framework within which to formulate investment proposals and structure/negotiate transactions.

Grameen Foundation is looking for a team of 2-4 volunteers. This work can be conducted remotely.
Each country report is estimated to take 2 days or 16 hours. For 21 countries, this would entail 42 working days or 336 hours. Target completion date: June 30.
For this project, Grameen Foundation is seeking bankers, accountants and/or attorneys who work in the field of emerging markets investing, particularly those with a practice within the countries or regions specified and/or have experience investing in the regions/countries specified.
Prefer individuals with experience working in large commerical bank, multi-national accounting firm, international investment firm, or law firm with international investment practice.
